These Terms govern use of the PMG website, merchant-service inquiries, equipment promotions, referral opportunities and representative programs.

Welcome to the website of Premium Merchant Group LLC ("PMG," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Premium Merchant Group website, including information, forms, offers, programs, products, services, referral opportunities, representative opportunities and other content made available through the site.

By accessing or using this website, submitting information through the website, or requesting information from PMG, you agree to these Terms. If you do not agree with these Terms, please do not use the website.

1. About Premium Merchant Group

Premium Merchant Group LLC provides merchant-services consulting, sales, support and access to payment-processing, point-of-sale, mobile-payment, online-payment, equipment, software and related business technology solutions.

PMG may work with independent payment processors, acquiring banks, payment gateways, independent sales organizations, software providers, equipment manufacturers, financial institutions and other third-party service providers.

PMG is not itself a bank, card network or acquiring financial institution. Payment-processing services and related financial services may ultimately be provided by third parties under separate agreements between the merchant and the applicable provider.

Information presented on this website is intended to help businesses evaluate available options and does not constitute an offer of credit, banking services or guaranteed payment-processing approval.

2. Merchant Approval and Underwriting

All merchant accounts, payment-processing programs, equipment programs, pricing arrangements and related services may be subject to approval.

Approval may depend on factors including, but not limited to:

  • Business type and industry
  • Ownership information
  • Business and processing history
  • Anticipated or actual processing volume
  • Average transaction size
  • Chargeback history
  • Fraud and risk review
  • Credit or financial review where applicable
  • Banking and identity verification
  • Regulatory requirements
  • Processor or acquiring-bank requirements
  • Other underwriting criteria established by the provider

Submission of information to PMG does not guarantee approval. PMG does not control the underwriting standards or final approval decisions of independent processors, banks or other financial-services providers.

PMG and its processing partners may decline, suspend or terminate applications or accounts where fraud, misrepresentation, identity concerns, prohibited activity, excessive risk or other underwriting concerns are identified.

Applicants may be reviewed against industry databases and risk-monitoring systems, including the Mastercard MATCH system or other applicable terminated-merchant, fraud-prevention or high-risk databases used by processors, acquiring banks, card networks or other financial-services providers.

A prior listing in MATCH or another risk database may affect eligibility and may result in additional review, documentation, restrictions, reserves, delayed approval or denial.

3. Fraudulent, Misrepresented or Prohibited Accounts

PMG reserves the right to decline, suspend, terminate or refuse to support any application or merchant relationship involving suspected fraud, identity theft, false documentation, undisclosed ownership, transaction laundering, unauthorized aggregation, prohibited products or services, illegal activity, sanctions concerns, excessive chargebacks, deceptive practices or other activity that PMG or its processing partners consider unlawful, deceptive, abusive or unacceptably risky.

Merchants are responsible for providing complete, truthful and accurate information during application and underwriting and for promptly reporting material changes to their business.

PMG or its partners may request additional documentation or verification at any time.

Accounts involving fraud, material misrepresentation, prohibited activity or serious risk may be terminated and may become ineligible for promotional benefits, referral bonuses, representative compensation, free-equipment benefits or other incentives to the extent permitted by applicable agreements and law.

4. Rates, Pricing and Savings

Processing rates, fees, pricing examples, savings estimates and comparisons displayed or discussed by PMG are informational or promotional unless specifically included in a written agreement.

Actual pricing may vary based on business type, card mix, transaction method, processing volume, average ticket, risk classification, equipment, processor requirements, card-network fees, interchange, gateway services and other account-specific factors.

PMG does not guarantee that every merchant will receive a particular rate, fee, savings amount or pricing structure. Final rates and fees are governed by the merchant's applicable written agreements.

5. Free Equipment and Promotional Equipment Offers

PMG may advertise equipment as "free," "included," "no-cost," "qualify for free equipment" or similar language.

Not every merchant qualifies for free equipment.

Eligibility for free or discounted equipment may depend on underwriting approval and additional requirements, including:

  • Approval for payment-processing services
  • Expected or actual processing volume
  • Business type
  • Selected pricing program
  • Processor requirements
  • Risk profile and account status
  • Length or terms of a processing agreement
  • Equipment availability
  • Other promotional-program requirements

PMG makes no guarantee that a merchant will qualify for a free device or a particular equipment model.

Depending on the program, equipment may instead be available for purchase, rental, lease, subscription or another arrangement.

Equipment Return Upon Account Closure

Unless otherwise stated in a written equipment agreement, promotional, loaned, placed or no-cost equipment may remain the property of PMG, the processor, equipment provider or another applicable third party.

If a merchant account is closed, terminated, transferred or otherwise ceases processing under the applicable program, the merchant may be required to return the equipment in good working condition, ordinary wear and tear excepted, within the period specified in the applicable agreement or return instructions.

Failure to return required equipment, or returning equipment damaged beyond ordinary wear and tear, may result in replacement charges, equipment charges, collection activity or other remedies permitted under applicable agreements and law.

Accessories, power supplies, cables, stands, printers, docks and other items originally provided with the equipment may also be required to be returned.

Promotional equipment programs may be modified, substituted, restricted, suspended or discontinued. Equipment models and availability are subject to change.

Taxes, shipping, installation, accessories, connectivity, software subscriptions, replacement costs or other charges may apply depending on the specific offer.

6. Point-of-Sale and Third-Party Technology

PMG may market or facilitate access to payment terminals, POS systems, mobile-payment solutions, software applications, gateways, invoicing tools, online-payment services and other technology supplied by third parties.

Product names and trademarks belong to their respective owners. PMG does not manufacture most third-party hardware or software displayed on the website and does not guarantee uninterrupted operation, compatibility, uptime, functionality or continued availability of third-party products.

Certain products may require internet connectivity, cellular service, compatible devices, software subscriptions, processor compatibility, gateway services, merchant accounts or separate third-party agreements.

7. Dual Pricing, Cash Discount and Similar Programs

PMG may provide information regarding dual-pricing, cash-discount, surcharge, service-fee or similar payment programs.

Availability and requirements vary by state, card brand, processor, business type and applicable law or network rules.

Merchants are responsible for operating any such program in compliance with applicable laws, card-network requirements, signage requirements, receipt requirements, disclosures and their processing agreements.

8. Merchant Agreements Control

If you become a merchant client, your payment-processing relationship may be governed by separate agreements with a processor, acquiring bank, gateway, software provider, equipment provider or other third party.

Those agreements may contain additional provisions concerning processing fees, funding, reserves, chargebacks, termination, PCI compliance, equipment, data security, disputes, account restrictions and other matters.

If general website information conflicts with an executed merchant agreement, the executed agreement controls the applicable merchant services.

9. Website Inquiry Forms

You may provide information through Request More Information, contact, equipment-interest, referral, representative-interest or similar forms.

You agree to provide accurate information. Submitting a form does not create a merchant-processing agreement, employment relationship, agency, partnership, franchise or other contractual relationship unless a separate written agreement is executed.

10. Sensitive Information

General PMG website forms are not intended for sensitive financial or underwriting information.

Do not submit through a general website form:

  • Full payment-card numbers
  • Bank-account passwords
  • Online-banking credentials
  • Social Security numbers
  • Passwords
  • Government identification images
  • Other sensitive authentication information

When underwriting information is required, PMG or the applicable provider may direct the merchant to a secure application or verification process.

11. Communications

By providing contact information, you authorize PMG to contact you regarding your inquiry using the phone number or email address you provide.

Communications may concern merchant services, processing options, POS equipment, software, account reviews, referrals, representative opportunities or other services related to your inquiry.

Submitting an inquiry does not by itself constitute consent to unrelated automated promotional text campaigns where separate consent is legally required.

12. Learn to Earn — Representative Opportunities

PMG may offer opportunities for individuals or businesses to become independent sales representatives, agents, referral partners or similar representatives.

Becoming a representative may require application and approval, identity verification, training, acceptance of policies, execution of a separate written agreement and compliance with applicable processor rules and law.

A person does not become a PMG representative merely by submitting an inquiry through this website.

Unless expressly established by a written agreement, representatives are not employees of PMG.

13. Residual Income

PMG may describe opportunities for qualified representatives to earn residual income associated with merchant accounts.

Residual income is not guaranteed.

Residual compensation may depend on execution of an applicable representative agreement, merchant approval, merchant activation, actual processing activity, processing volume, pricing, profitability, chargebacks, account status, processor rules, adjustments, merchant retention and the compensation terms of the applicable representative agreement.

Residual compensation may vary significantly based on the merchant's actual monthly processing volume, transaction mix, pricing structure, processing costs, profitability, account status and continued processing activity. A merchant account that processes little or no volume may generate little or no residual compensation.

Residuals may be adjusted, suspended or discontinued if a merchant account closes, transfers, becomes inactive, is terminated, is identified as fraudulent, violates processor or card-network rules, or otherwise becomes ineligible under the applicable representative agreement.

Past earnings and hypothetical examples are not guarantees of future income.

14. Referral Bonuses

PMG may offer referral bonuses or promotional payments for referring businesses.

A referral alone does not automatically qualify for payment. Eligibility may require:

  • The referred business to be a new prospect not already known to or actively working with PMG
  • Submission of a completed merchant application
  • Successful underwriting approval
  • Identity and business verification
  • Acceptance by the applicable processor or acquiring institution
  • The merchant account becoming live and activated
  • The merchant beginning actual transaction processing
  • Confirmed processing volume
  • The merchant remaining active and in good standing for any required qualification period
  • The merchant not being terminated for fraud, prohibited activity, excessive risk or material misrepresentation
  • Other applicable referral-program requirements

Referral bonuses may vary based on the processing volume and characteristics of the merchant account.

Factors may include account type, actual processing volume, profitability, pricing structure, product mix, risk profile and other program-specific considerations.

Referral bonuses are generally earned only after the merchant is live, activated and confirmed to be processing transactions in accordance with the applicable referral program.

PMG may delay, reduce, reverse or deny a referral bonus if the merchant does not activate, fails to process qualifying volume, closes shortly after approval, is terminated, is determined to be fraudulent, supplies materially inaccurate information or otherwise fails to satisfy applicable program requirements.

Bonus amounts, thresholds, qualification periods, payment timing and eligibility requirements may vary by promotion and may be described in separate written program materials.

15. Taxes on Representative and Referral Income

Individuals and businesses receiving compensation from PMG are responsible for determining and satisfying their own tax obligations. PMG may issue tax-reporting documents where required by law.

Nothing on this website constitutes tax advice.

16. No Employment or Agency Relationship

Unless expressly established by a separate written agreement, nothing on this website creates an employment, partnership, joint venture, fiduciary, franchise or agency relationship between PMG and a visitor, prospect, referral source or prospective representative.

17. No Guarantee of Results

PMG does not guarantee:

  • Merchant-account approval
  • Particular processing rates
  • A particular amount of savings
  • Free equipment
  • A particular equipment model
  • Funding times
  • Uninterrupted processing
  • Software availability
  • Increased sales
  • Reduced processing costs
  • Representative earnings
  • Residual income
  • Referral bonuses
  • Any particular business outcome

18. Accuracy of Website Information

PMG attempts to provide accurate and current information. Payment-processing products, rates, equipment, software, card-network requirements, promotions and provider programs may change.

PMG may update, modify or correct website information at any time without notice.

19. Third-Party Websites and Services

The website may reference or link to processors, software providers, equipment manufacturers, financial institutions and other third parties.

PMG does not control third-party websites and is not responsible for their content, security, availability, privacy practices or terms.

20. Intellectual Property

PMG website branding, design, text, graphics, logos and original content are owned by or licensed to Premium Merchant Group LLC unless otherwise indicated.

Third-party trademarks remain the property of their respective owners.

21. Acceptable Use

You agree not to use this website to:

  • Violate applicable law
  • Submit fraudulent information
  • Impersonate another person or business
  • Interfere with website security
  • Attempt unauthorized access
  • Distribute malware or harmful code
  • Abuse website forms or communications

22. Disclaimer of Warranties

23. Limitation of Liability

This includes loss of profits, business interruption, data loss, lost opportunities or damages resulting from reliance on website information.

24. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Premium Merchant Group LLC and its officers, owners, employees, representatives and affiliates from claims, damages, liabilities, losses and reasonable expenses arising from your misuse of the website, violation of these Terms, submission of fraudulent information, violation of law or infringement of another party's rights.

25. Privacy

Your use of this website is also subject to our Privacy Policy, which describes how PMG collects, uses, protects and shares information.

26. Changes to These Terms

PMG may revise these Terms from time to time. Updated Terms will be posted with a revised effective date.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

28. No Waiver

PMG's failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

29. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable federal law controls.

Any dispute concerning these Terms or use of this website will be subject to applicable law and any binding dispute-resolution provisions contained in a separate written agreement between the parties.
